Terms of Service

1. Who we are and what these Terms of Service cover

These Terms of Service are an agreement between you and Dhyan Software Private Limited (“Dhyan Software”, “we”, “us”), a company incorporated in India. They cover:

• the website dhyansoftware.com and purchases from our store;
• license keys for our WordPress and WooCommerce plugins, including Smart Add-Ons;
• Dhyan Cloud services: the licensing and update service at api.dhyansoftware.com, the customer portal at app.dhyansoftware.com, AI suggestions and add-on analytics.

Plugin-specific terms are in the Smart Add-Ons License & Subscription Terms, refunds are in our Refund Policy, and personal data is covered by our Privacy Policy. Together with these Terms of Service, they form the whole agreement.

2. Accepting these terms

By buying from our store, creating an account or using Dhyan Cloud services, you accept these Terms of Service. You must be at least 18 and able to enter into a contract. If you accept on behalf of a business, you confirm you have authority to bind it, and “you” means that business.

3. Your account

Give us accurate details and keep them up to date. Keep access to your email inbox and customer portal secure, because we use your email address to sign you in and to deliver license keys. You are responsible for activity under your account and license keys. Tell us straight away at support@dhyansoftware.com if you think someone else is using them.

4. Prices, payment and taxes

Prices are shown in US dollars at checkout. Payments are processed by Razorpay; we never see or store your full card details. Any taxes we must charge are shown at checkout. You are responsible for any other taxes your own country applies to your purchase.

License keys run for one year. We do not charge you automatically: you renew by buying again, as described in the License & Subscription Terms.

5. The software

Our plugins are free software licensed under the GNU General Public License v2 or later (opens in new tab). What you pay for is the license key, which gives you updates, support, Pro features and Dhyan Cloud services while it is active.

6. Dhyan Cloud services

We run Dhyan Cloud with reasonable care and skill, but we do not promise it will always be available or error-free. We may carry out maintenance, change features, or suspend a service to protect its security. We will try to give notice of major changes. If a cloud service is unavailable, product add-ons you have already set up keep working on your store.

AI suggestions are generated automatically and can be wrong, incomplete or unsuitable for your store. Review every suggestion before you use it. You are responsible for the products, prices and content you publish.

7. Acceptable use

When using our website and Dhyan Cloud services, you must not:

• share, publish or resell license keys, or access to Dhyan Cloud services;
• get around site limits, usage quotas, license checks or other technical limits of the cloud services;
• probe, scan or test the security of our systems without our written permission, or try to access data that isn’t yours;
• send automated traffic that overloads our services, or interfere with other customers’ use of them;
• copy, decompile or reverse engineer the Dhyan Cloud services or customer portal (this does not limit your rights to the plugin code under the GPL);
• use our services for anything unlawful, fraudulent or harmful.

8. Your data and your shoppers’ data

Your store data stays yours. You allow us to process it only to provide Dhyan Cloud services to you, as described in our Privacy Policy. When you run our plugins on your store, you are responsible for telling your own shoppers how their data is used, for example in your store’s privacy policy.

9. Refunds

Our Refund Policy gives a full refund for any reason within 30 days of your first purchase, and refunds renewals within 30 days minus a 15% admin fee.

10. Our intellectual property

Apart from the GPL-licensed plugin code, our website, documentation, Dhyan Cloud services and customer portal belong to Dhyan Software and are not licensed to you except to use them under these Terms of Service. “Dhyan”, “Dhyan Cloud”, “Smart Add-Ons” and our logos are our trademarks.

11. Disclaimer

To the extent the law allows, our plugins and Dhyan Cloud services are provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose. Some countries don’t allow these exclusions, so some may not apply to you.

12. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential loss, or for lost profits, revenue, data or business opportunity. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim. Nothing in these Terms of Service limits liability that cannot be limited by law.

13. Suspension and termination

We may suspend or end your access to Dhyan Cloud services, or deactivate a license key, if you seriously or repeatedly break these Terms of Service. You can stop using our services at any time. Sections that by their nature should continue, such as disclaimers, limits of liability and governing law, survive termination.

14. Changes to these terms

We may update these Terms of Service. The date at the top shows the latest version, and we will email active customers about important changes. Changes apply from that date and never reduce what you have already paid for during your current license term.

15. Governing law and disputes

Please contact us first; most problems can be solved quickly by email. These Terms of Service are governed by the laws of India, and the courts at Vadodara, Gujarat have jurisdiction. This does not take away any consumer protection that the law of your own country gives you.
